تحلیل محدودیتهای تقنینی سرمایهگذاری مستقیم خارجی در ایران و آثار آن بر سرمایهگذاری صندوقهای ثروت حاکمیتی

چکیده
در تمام مدلهای سرمایهگذاری صندوقهای ثروت حاکمیتی، به موازات سرمایهگذاری پورتفولیو، البته در سطحی کمتر، روش سرمایهگذاری مستقیم خارجی نیز اعمال میشود. باوجود آنکه قانون تشویق و حمایت سرمایهگذاری خارجی مصوّب 1380 بر سرمایهگذاری مستقیم خارجی متمرکز است، قانون مذکور، آییننامه اجرایی آن و سایر مقررات مرتبط دارای محدودیتهای چندی در این زمینه ‌است که درخصوص صندوقهای ثروت حاکمیتی نیز صدق مینماید. مسئله تحقیق حاضر شناسایی محدودیتهای تقنینی احتمالی در حوزه سرمایهگذاری مستقیم خارجی، که میتوانند بهطور جدّی بر سرمایهگذاری صندوقهای ثروت حاکمیتی مؤثّر واقع شوند، و تحلیل و ارزیابی آثار مذکور است. بر مبنای نتایج تحقیق حاضر در ارتباط با درآمدهای صادراتی صندوق ثروت حاکمیتی در غالب موارد، که منشأ معاملاتی و محل پرداخت آنها خارج از کشورند، سرمایهگذاری درآمدهای مذکور در داخل کشور سرمایه با منشأ خارجی تلقّی میگردد. با توجه به آثار شرایط و محدودیتهای انتقال اموال مرتبط با سرمایهگذاری، اعمال آنها درخصوص صندوقهای ثروت حاکمیتی دشوار و غیرممکن بوده و اصلاح مقرّرات در این زمینه ضروری است. در ارتباط با محدودیت در تملک اموال غیرمنقول درخصوص صندوقهای مذکور اصل منع تملّک اموال غیرمنقول در حقوق موضوعه ایران مانعی جزئی بوده و صرفاً نسبت به سرمایهگذاری در اموال غیرمنقول و همچنین زیرساختهای نیروگاهی و انرژی ‌است. در پایان نیز توصیههایی برای اصلاح مقرّرات و رویه اجرایی پیشنهاد گردیده است.

Analysis of the Legislative Limitations of Foreign Direct Investment in Iran and Its Effects on Sovereign Wealth Fund Investments

In all models of sovereign wealth fund investments, alongside portfolio investment, albeit to a lesser extent, the method of foreign direct investment is also applied. Although the Foreign Investment Promotion and Protection Act, enacted in 1380, focuses on foreign direct investment, this law, its executive bylaw, and other related regulations have several limitations regarding foreign direct investment in our country, which also apply to sovereign wealth funds. The objective of the present research is to identify potential legislative constraints in the field of foreign direct investment that could significantly affect sovereign wealth fund investments, and to analyze and evaluate these effects. Based on the findings of this research, in relation to the export revenues of sovereign wealth funds, in most cases where the transactions originate and are paid outside the country, investing these revenues domestically is considered capital with foreign origins. Due to the effects of conditions and limitations on the transfer of assets related to investment, applying them to sovereign wealth funds is difficult or even impossible, making regulatory reform in this area essential. Regarding the limitation on ownership of real estate for sovereign wealth funds, the principle of prohibition of ownership of real estate in Iranian law is a minor obstacle, applicable only to investments in real estate and also in power generation and energy infrastructure. Finally, recommendations for regulatory reform and implementation practices have been proposed.
