چکیده
ماهیت حقوقی نهادهای اداری در ایران یکی از مسائل پیچیده و مبهم در نظام اداری است که به‌خصوص در سالیان اخیر این معضل تشدید شده است. ماهیت حقوقی بانک مرکزی به‌عنوان یکی از بزرگ‌ترین و مهم‌ترین نهادهای نظام اداری و اقتصادی کشور یکی از چالش‌های نظام اداری در تعامل با این نهاد است. به‌طوری که علی‌رغم تغییر چندباره قانون حاکم بر آن، موضع شفافی توسط قانونگذار گرفته نشده است و به‌نوعی این ابهام تعمدی تلقی می‌شود. شاید به همین دلیل و همچنین ضعف شدید ادبیات حقوقی در این زمینه، پژوهش مستقلی درخصوص تبیین ماهیت حقوقی بانک مرکزی صورت نگرفته و کمتر کسی ورود به این موضوع پرابهام و چندوجهی را برای بررسی انتخاب کرده است. بااین‌حال، پاسخ به این پرسش که «با توجه به نظام حقوقی ایران، ماهیت حقوقی بانک مرکزی چیست؟» خصوصاً برای ورود به اصلاح ساختار نظارت بر شبکه بانکی و حکمرانی پولی نقش تعیین‌کننده‌ای دارد که برای ورود به بحث اصلاح ساختار بانک مرکزی و همچنین تقویت استقلال این نهاد از دولت، کلیدی و غیرقابل چشم‌پوشی است و منجر به حل آثار مترتب بر آن می‌شود. در پژوهش حاضر، ضمن بررسی قوانین و مقررات موضوعه در کنار رویه تقنینی، اجرایی و قضایی و گذری بر فضای سیاسی حاکم بر این موضوع با تحلیل منابع حقوقی گردآوری‌شده بیان شد که مستفاد از قوانین و ساختار حقوقی حاکم بر بانک مرکزی، ماهیت حقوقی بانک مرکزی «شرکت دولتی» است

The Legal Nature of Administrative Institutions in Iran is one of the most complex and ambiguous issues in the administrative system, a problem that has intensified in recent years. The legal nature of the Central Bank, as one of the largest and most important institutions in the country's administrative and economic system, remains a key challenge in the administrative system's interaction with this entity. Despite multiple amendments to its governing laws, the legislature has not taken a clear stance on the matter, leading to perceptions that this ambiguity may be intentional. Perhaps due to this ambiguity -along with the severe lack of legal literature on the subject- no independent research has been conducted to clarify the legal nature of the Central Bank. Few have ventured into this obscure and multifaceted issue for examination. However, answering the question, "What is the legal nature of the Central Bank under Iran’s legal system?" is crucial, particularly for reforming the banking supervision framework and monetary governance. This question is key to any discussion on restructuring the Central Bank and strengthening its independence from the government, making it indispensable for resolving related consequences. In this study, through an analysis of existing laws and regulations, legislative, executive, and judicial practices -as well as the prevailing political atmosphere – it is argued, based on collected legal sources, that the legal nature of the Central Bank under Iran’s legal structure is that of a “state-owned company
