اعمال قواعد حقوق‌مصرف در عرضه رمزدارائی‌ها از طریق تعهد به ارایه‌ اطلاعات

چکیده
دارایی‌های رمزنگاری‌شده بعنوان پدیده‌ای نوظهور مبتنی بر تکنولوژی بلاکچین چالش‌های حقوقی فراوانی را سبب گردیده‌اند. فارغ از انواع مختلفی که این گونه دارایی‌ها دارند، طیف گسترده‌ای از معاملات بطور الکترونیک با موضوع رمزدارایی‌ها منعقد می‌شود. باتوجه به فنی و تخصصی بودن این معاملات زمینه عدم توازن میان طرفین قرارداد و نابرابری اطلاعاتی چشم‌گیر است. از این رهگذر قواعد حقوق مصرف و نظریه تعهد به ارایه اطلاعات مجال اعمال و اجرا در حوزه رمزداریی‌ها دارد. در وضعیت فعلی انتشار سپیدنامه شیوه‌ای است که غالبا ناشران از آن برای ارایه اطلاعات استفاده می‌کنند. با وجود این، سپیدنامه‌ها دارای معایب فراوان بوده و رافع نیازها نیستند. از این روی لازم است با تصویب قوانین مکمل و تنظیم‌کننده ابهامات موجود را در این رابطه زدود و من‌جمله با تعیین محتوای الزامی برای سپیدنامه‌ها در مقام رفع نواقص برآمد. از سوی دیگر روند ارایه اطلاعات باید ادامه یافته و استمرار داشته باشد. در غیراینصورت باب سوء استفاده برای مترصدان فراهم خواهد شد. باید توجه نمود که برخلاف توکن‌های کاربردی در توکن‌های بهادار علاوه بر مقررات حقوق مصرف قوانین مالی و مخصوص اوراق بهادار نیز قابلیت اعمال دارند. این مقررات حاوی الزامات مربوط به ثبت و افشای اطلاعات بوده و نیاز است با نگاهی جامع در مقررات‌گذاری رویکردی متناسب اتخاذ نمود.

چکیده English

 
Crypto assets as new emerging entities based on Blockchain technology have caused many legal challenges. Regardless of these assets different types, numerous electronic transactions are concluded based on them. Due to the technical and specialized nature of these transactions, there is a significant imbalance between the Parties to the contract and information asymmetric. Therefore consumption law rules and the obligation to disclosure are applicable in the aforementioned transactions. Crypto assets issuers commonly publish whitepapers in order to fulfill their disclosure obligation. However, whitepapers have many disadvantages and do not seem satisfactory. Accordingly it is necessary to enact supplementary laws to remove any existing ambiguity in this regard in addition to determining whitepapers required content to fix the defects. On the other hand, information disclosure process should be continued. Otherwise abuse will be provided for the observers. It should be considered that unlike Utility Tokens, in addition to consumption law rules, financial and securities law rules are applicable. These rules contain registration and information disclosure requirements which need an appropriate comprehensive approach in regulation. Furthermore, the necessity to modify and complete laws does not negate the blockchain ecosystem actors' existing obligations.
